This is an informational English translation. The legally binding document is the Russian version at sweetwhisper.app/offer/: the sale is made by a Russian sole trader, in roubles, under Russian law. If the two texts differ, the Russian text prevails.

This document is a public offer to enter into a licence agreement: a formal proposal by sole trader (individual entrepreneur) Maksim Viktorovich Matsiiak (OGRNIP 320774600002870, INN 772353439590), taxed under the Russian “professional income tax” regime (NPD), hereinafter the “Licensor”, to conclude a licence agreement granting a simple (non-exclusive) personal licence to use the computer program SweetWhisper (the “Software”) on the terms set out below.

Payment of the licence fee constitutes acceptance of this offer. Payment means full and unconditional acceptance under Articles 437 and 438 of the Civil Code of the Russian Federation. The licence agreement between you (the “User”) and the Licensor is concluded the moment payment is received.

1. Subject of the agreement

1.1. The Licensor grants the User a simple (non-exclusive) personal licence to use the Software — a Windows application performing speech recognition primarily offline, on the User’s devices.

1.1.1. Licence terms:

• type — simple (non-exclusive) personal licence for one User;
• term — for the entire duration of the Licensor’s exclusive right to the Software; for the User’s purposes the licence is perpetual. This is stated explicitly as required by Article 1235(4) of the Civil Code (absent an express term, a licence agreement would be deemed concluded for five years);
• territory — worldwide;
• scope — installation and use on no more than 3 (three) personal devices of a single User (see the EULA for details).

1.2. The Software is distributed in two editions:

• Free — a free edition, available without time limit for personal and commercial use.
• Pro — a paid edition unlocking additional capabilities. Purchased with a one-off payment and valid perpetually (a “lifetime” licence), including free updates of the Software (see section 5).

1.3. The terms of use of the Software (rights, restrictions, disclaimer of warranties) are set out in the End-User Licence Agreement (EULA), which forms an integral part of this offer.

2. Price and payment

2.1. The price of a Pro licence is 1,490 ₽. A reduced early-access price of 990 ₽ may apply. The current price is shown on the payment page at sweetwhisper.app at the time of purchase. VAT is not charged — the Licensor applies the “professional income tax” (NPD) regime and is not a VAT payer.

2.2. Payment is processed by the payment provider indicated on the payment page. The Licensor neither receives nor stores the User’s bank card details; these are handled by the payment provider.

2.3. The User’s payment obligation is deemed performed once the payment provider confirms the payment.

2.4. The Licensor applies the “professional income tax” (NPD) regime and does not operate cash-register equipment. Upon payment the Buyer is issued a receipt formed under Article 14 of Federal Law No. 422-FZ of 27 November 2018. The receipt is generated and sent to the Buyer by the payment service (an authorised operator integrated with the Russian Federal Tax Service) to the email address given at checkout.

2.5. Refunds. The licence is personal and delivered electronically. Under Article 26.1(4) of the Russian Consumer Rights Protection Act, a licence key with individually defined properties (bound to the User) is not subject to return or exchange as goods of proper quality once it has been delivered and/or activated. The Buyer’s right to a refund where the Software has a material defect, and where the Buyer applies before the key is activated, is preserved in accordance with Russian law. A free Pro trial (14 calendar days, see section 3) is available before purchase, so compatibility and capabilities can be verified before paying.

3. Trial period

3.1. Before purchasing, the User may try the Pro capabilities free of charge for a trial period of 14 calendar days. When it ends, Pro capabilities are switched off and the Software continues to work as Free.

4. Delivery of the licence key

4.1. After the payment is confirmed, the User is issued a licence key in the format SWLIC1.* — to the email address given at checkout and/or on the page shown after payment.

4.2. The licence key activates the Pro capabilities on the User’s devices. One licence covers no more than 3 personal devices of a single User (see the EULA for details).

4.3. If the key has not arrived within 24 hours of payment, the User should write to hello@sweetwhisper.app and the key will be re-sent.

5. Updates

5.1. The Pro licence includes the right to free updates of the Software. No additional charge is made for new versions within the purchased licence.

5.2. The Licensor does not guarantee the release of updates within any particular timeframe and may change the set of features of the Software.

6. Personal data

6.1. When placing an order, the User provides an email address, which is required to deliver the licence key, to send the NPD receipt (Article 14 of Law 422-FZ) and to communicate about the purchase.

6.2. Personal data is processed in order to perform this agreement, in accordance with the Privacy Policy published at sweetwhisper.app. The legal basis is performance of a contract to which the User is a party (Article 6(1)(5) of Federal Law No. 152-FZ of 27 July 2006 “On Personal Data”). The Licensor neither receives nor stores bank card details; these are handled by the payment provider.

7. Force majeure

7.1. The Parties are released from liability for partial or complete failure to perform their obligations under this agreement where such failure results from force majeure: natural disasters, fires, epidemics, military action, acts of public authorities, large-scale failures of telecommunications or power networks, and other extraordinary events that the Parties could neither foresee nor prevent.

7.2. For the duration of such circumstances, performance of obligations is suspended and no penalties accrue for non-performance.

8. Dispute resolution

8.1. The Parties will seek to resolve disputes and disagreements under this agreement through negotiation.

8.2. Before going to court, a Party shall send the other Party a written claim, including by email to hello@sweetwhisper.app. The deadline for responding to a claim is 10 (ten) business days from the date of its receipt.

8.3. Failing agreement, the dispute is resolved in court in accordance with the laws of the Russian Federation. The rights of a User acting as a consumer under the Russian Consumer Rights Protection Act (including the right to choose the venue) are not limited hereby.

9. Final provisions

9.1. The Licensor may amend the terms of this offer. The current revision is always available at sweetwhisper.app. Amendments have no retroactive effect on licences already purchased.

9.2. In all matters not governed by this offer, the parties are guided by the laws of the Russian Federation.
